Terms of Service

1. Acceptance of Terms

By creating an account, accessing the Hivewire REST API or MCP server, or otherwise using the Hivewire developer service (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes the organization. If you do not agree, do not use the Service. These Terms are an agreement between you and Hivewire, LLC ("Hivewire," "we," "us," or "our"), a Delaware limited liability company.

2. The Service

Hivewire provides programmatic access to news intelligence: clustered stories, AI-generated headlines and summaries, topic classification, significance scores, ranked feeds, trends, and persistent channels. The Service returns metadata, summaries, and links to original reporting; it does not provide full article text.

"Customer Input" means queries, channel settings, feedback, and other information you submit to the Service. "Output" means summaries, classifications, scores, metadata, and other results the Service returns. Output may incorporate facts and links from third-party publications.

3. Accounts & API Keys

3.1 Registration: You must be at least 18 years old, be legally able to form a binding contract where you live, and provide accurate account information. You are responsible for complying with laws that apply to your location and use of the Service.

3.2 Key Security: Each account may have one active API key. You must keep it confidential and may not share, publish, sell, or transfer it. You are responsible for activity under your key, including usage by your applications and end users. Notify us promptly at support@hivewire.ai if you believe a key has been compromised; you can rotate it at any time.

4. Plans, Billing & Auto-Renewal

4.1 Fees: Paid plans are billed at the rate shown on the pricing page at checkout. Each plan includes a monthly credit allowance; calls beyond that allowance may be rejected. Certain compute-intensive endpoints cost more credits, as published on the pricing page and in the API documentation.

4.2 Auto-Renewal: Subscriptions renew automatically each month unless cancelled. By subscribing, you authorize us to charge your payment method at the start of each billing cycle.

4.3 Cancellation: You may cancel at any time through your account settings or by contacting support. If you sign up online, you can cancel online. Cancellation stops the next billing cycle; it does not refund the current one.

4.4 No Refunds: Payments are non-refundable, including for partially used periods or unused credits, except where required by law.

4.5 Price Changes: We may change plan prices with at least 30 days' advance notice, effective at the start of your next billing cycle after the notice.

5. Acceptable Use

5.1 Permitted Use: You may use the Service to build applications, agents, feeds, and internal tools within your plan's limits. The Free plan is for non-commercial projects, including personal projects, research, internal prototypes, and deployed applications that do not generate revenue or support client work or a paid product. Client work, advertising-supported products, use in or supporting a paid product, and other revenue-generating use require a Developer or higher plan. Applications on the Free plan must display "News via Hivewire" with a link to https://hivewire.ai wherever Output is displayed.

5.3 Rate Limits: We enforce rate limits and quotas to ensure fair access. Exceeding them may result in temporary throttling; repeated or intentional abuse may result in suspension or termination.

6. Customer Input & AI Processing

You retain your rights in Customer Input. You grant Hivewire a non-exclusive, worldwide license to host, copy, transmit, and process Customer Input only as needed to provide, secure, troubleshoot, and comply with law for the Service. Hivewire does not use Customer Input to train AI models. Customer-facing generation and personalized newsletters transmit Customer Input through OpenRouter only to model providers that meet our no-collection and zero-data-retention restrictions. Search and relevance routes use Google Gemini directly for embeddings and may use a restricted OpenRouter Gemini endpoint as a fallback. Topic-profile text may also be sent to OpenAI for moderation. You represent that you have the rights and permissions needed to submit Customer Input and allow Hivewire to process it under these Terms.

7. Output, Retention & Intellectual Property

7.1 Output License: Subject to these Terms and your plan, Hivewire grants you a non-exclusive, non-transferable, revocable license to use, reproduce, display, and distribute Output as part of your application. You may not offer Output as a substitute news API or standalone dataset.

7.2 Retention: You may retain Output as reasonably needed to operate your application, including stories previously displayed or delivered to a user, bookmarks, story and article identifiers, channel configuration and feedback, and analysis you create from Output. You may not use retained Output to reconstruct a substantial portion of the Hivewire dataset, maintain a general-purpose permanent news archive, offer a substitute for the Service, or resell Output as a standalone dataset or API.

7.3 Ownership: You retain your rights in your application and Customer Input. Hivewire retains its rights in the Service, its software, API design, documentation, and proprietary data. Publishers and other third parties retain their rights in their names, articles, and other source material. The Output license does not grant rights in the full text of an article or remove obligations imposed by third-party rights.

7.4 Attribution: When Output includes publisher names or source links, preserve them when displaying the corresponding story details. Free-plan applications must also provide the Hivewire attribution described in Section 5.1.

7.5 Copyright Complaints: If you believe material available through the Service infringes your copyright, email dmca@hivewire.ai. Identify the copyrighted work and the material at issue, explain where we can find it and why you believe the use is unauthorized, and include your contact information. We may ask for more information before acting on a complaint.

8. AI-Generated Output

AI-generated headlines, summaries, classifications, and scores can be inaccurate, incomplete, or out of date. Verify consequential information against the linked sources before acting on it or presenting it as fact. You are responsible for deciding whether Output is appropriate for your use and for providing any notices or human review your application requires.

9. Availability & API Changes

The Service is provided without an uptime guarantee or SLA. We may add, modify, or deprecate endpoints; for breaking changes to stable (v1) endpoints we will make reasonable efforts to provide at least 30 days' notice via the changelog or email.

10. Termination

10.1 By You: You may stop using the Service at any time. Before requesting account deletion, revoke any active API key and cancel any paid subscription. Then email support@hivewire.ai to request deletion.

10.2 By Us: We may suspend or terminate an account or key when we reasonably believe its use violates these Terms, threatens the Service or another user, exposes Hivewire to legal risk, or remains unpaid. When practical, we will give notice and an opportunity to correct the issue.

10.3 Effect: When these Terms end, your right to access the Service ends. Sections that by their nature should survive—including ownership, disclaimers, liability limits, indemnification, and dispute resolution—continue to apply.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVEWIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, OR GOODWILL, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (C) UNAUTHORIZED ACCESS TO YOUR TRANSMISSIONS OR CONTENT; OR (D) ANY AI-GENERATED CONTENT, INCLUDING ERRORS, INACCURACIES, OR FABRICATIONS. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF $250 OR THE AMOUNT YOU PAID HIVEWIRE FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. Indemnification

You will indemnify, defend, and hold harmless Hivewire, its officers, directors, employees, agents, and affiliates from third-party claims, damages, losses, and reasonable expenses (including attorneys' fees) arising from (a) unlawful Customer Input; (b) your infringement or violation of a third party's rights; or (c) your application or use of Output in violation of these Terms. Hivewire will promptly notify you of a covered claim, allow you to control its defense and settlement, and reasonably cooperate at your expense. You may not settle a claim in a way that admits fault by or imposes an obligation on Hivewire without our written consent.

14. Dispute Resolution

14.1 Governing Law: These Terms are governed by the laws of the State of Delaware, without respect to its conflict-of-laws principles.

14.2 Informal Resolution: Before filing a claim, contact us at support@hivewire.ai. If the dispute is not resolved within 30 days, either party may proceed in court.

14.3 Courts: The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from these Terms or the Service. You and Hivewire consent to their jurisdiction.

15. Changes to Terms

We may update these Terms. We will post the revised version and change the "Last updated" date. For material changes that negatively affect your rights, we will provide notice by email or through the Service and may ask you to accept the revised Terms. Changes apply prospectively from their stated effective date.

16. General Provisions

These Terms, together with our Privacy Policy, are the entire agreement between you and Hivewire regarding the Service. If any provision is unenforceable, it will be limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them without restriction. Hivewire is not liable for failures caused by circumstances beyond its reasonable control.
